1. About these terms

These Terms & Conditions ("Terms") govern your use of the website at bzfleet.com and the services provided by BZ Fleet Solutions Kft. ("BZ Fleet", "we", "us" or "our"). By using our website, registering for the partner portal, or placing an enquiry or order, you agree to these Terms. Please read them carefully.

These Terms are intended primarily for business customers (B2B). Specific commercial conditions for any individual transaction are set out in the applicable quotation and order confirmation, which prevail over these general Terms in the event of a conflict.

2. Definitions

• Platform — the bzfleet.com website and the partner portal, including the Dealer Zone and Buyer Zone.
• Dealer — a dealership or supplier, typically located in Central Europe, from whom we source vehicles.
• Buyer — a business or individual purchasing a vehicle from BZ Fleet.
• Vehicle — a new motor vehicle offered, sourced or sold through the Platform.
• Order Confirmation — our written confirmation of an order, which forms the binding sales contract.

3. Our service and role

BZ Fleet sources new vehicles from Dealers across Central Europe and sells and re-exports them to Buyers internationally. Unless expressly agreed otherwise in writing, BZ Fleet acts as the seller and contracting party towards the Buyer for the vehicles it sells, purchasing the vehicle from the Dealer and reselling it to the Buyer.

BZ Fleet charges a fee for its sourcing and export service, the amount and structure of which are set out in the relevant quotation or order confirmation. We aim to provide transparent pricing and full documentation for every transaction.

4. Eligibility and accounts

To use the partner portal you must register for a Dealer or Buyer account and provide accurate, current and complete information. You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate accounts that breach these Terms, provide false information, or are used unlawfully.

5. Quotations and orders

Information on the Platform and any indicative pricing are invitations to enquire, not binding offers. Quotations we issue are valid for the period stated in them and are subject to vehicle availability and to change until an order is confirmed.

A binding sales contract is formed only when we issue a written Order Confirmation (or when the individual purchase agreement is signed). At that point the specifications, price and commercial terms set out in that document apply to the transaction.

6. Prices, taxes and payment

Prices are stated in the quotation or order confirmation. Unless stated otherwise, prices do not include VAT, import duties, registration fees, insurance, or transport and delivery charges, which may apply depending on the destination and the agreed terms.

The Buyer is responsible for any taxes, duties, customs charges and registration obligations arising in the country of destination. Payment terms, methods, deposits and due dates are as set out in the applicable quotation or order confirmation. Vehicles are typically released or dispatched only after the agreed payment has been received in full and cleared.

7. Vehicles and specifications

We deal in new vehicles. Vehicle specifications, equipment, colours and availability are as described in the relevant quotation and are subject to the manufacturer's and Dealer's specifications and stock. Minor variations that do not materially affect the agreed specification may occur. Images on the Platform are for illustration and may not depict the exact vehicle supplied.

8. Delivery, export and risk

Delivery times are estimates and are not guaranteed unless expressly agreed in writing. Delivery terms (including any Incoterms), the place of delivery, transport arrangements and export documentation are as agreed for each order.

We will provide the documentation reasonably required for export and registration in the destination country; the Buyer is responsible for ensuring compliance with all import, homologation and registration requirements in that country. Unless the order confirmation states otherwise, title and risk in the Vehicle pass to the Buyer upon full payment and handover or dispatch, as specified in the order confirmation.

9. Warranty

New vehicles are covered by the applicable manufacturer's warranty in accordance with its terms and territorial scope. The Buyer is responsible for checking that the manufacturer's warranty is valid and serviceable in the destination country. To the fullest extent permitted by applicable law, and save for the manufacturer's warranty and any mandatory statutory rights, BZ Fleet gives no further warranties, express or implied, in respect of the Vehicles.

10. Cancellation

Because vehicles are sourced and, where relevant, configured for specific orders, cancellation of a confirmed order may not be possible or may be subject to charges reflecting our costs and commitments to the Dealer. Cancellation rights and any associated fees are governed by the applicable order confirmation and by mandatory law. Any statutory rights that apply to you as a consumer are not affected by these Terms.

11. Liability

To the fullest extent permitted by applicable law, BZ Fleet is not liable for indirect or consequential loss, loss of profit, loss of business or loss of anticipated savings. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Subject to the foregoing, our total liability in connection with any transaction shall not exceed the price paid for the Vehicle concerned.

12. Intellectual property, know-how and confidentiality

All content on the Platform — including text, graphics, logos, images, code and design — is owned by or licensed to BZ Fleet and is protected by intellectual property laws. You may not copy, reproduce or use it without our prior written permission, except as necessary for the ordinary use of the Platform.

In addition, the way BZ Fleet operates — including our sourcing and export process, our working method, the structure and workflow of the Platform (such as the separate Dealer Zone and Buyer Zone), our pricing model, and any non-public commercial information, know-how or documentation we make available to you — is our confidential information and trade secrets. You agree to keep it confidential and to use it only for the purpose of transacting with BZ Fleet.

You may not, directly or indirectly: (a) copy, imitate, reverse-engineer or otherwise reproduce our working method or the operation of the Platform; (b) use our confidential information, know-how or trade secrets to build, operate or assist any service that competes with BZ Fleet; or (c) circumvent BZ Fleet in order to deal directly with a counterparty introduced or made possible through the Platform. These obligations continue after your use of the Platform ends.

13. Data protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. Please review it to understand how we collect and use your data and what rights you have.

14. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including supply disruptions, manufacturer or Dealer delays, transport and logistics failures, strikes, natural events, or changes in law or trade restrictions.

15. Governing law and jurisdiction

These Terms and any transaction under them are governed by the laws of Hungary, without regard to conflict-of-law rules and, where applicable, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The courts of Hungary shall have jurisdiction over any dispute, subject to any mandatory consumer-protection rules that may grant a consumer the right to bring proceedings in their country of residence.

16. Changes to these terms

We may update these Terms from time to time. The current version, with its "Last updated" date, will always be available on this page. The Terms in force at the time your order is confirmed apply to that transaction.
